As a key member of the company secretarial function within Xero’s Legal team, you’ll provide high quality, timely and effective legal and company secretarial support and corporate governance advice to the Xero group. 

What you'll do...

  • Advise and support the implementation and administration of Xero's equity based remuneration plans, including our employee share plan and senior executive incentive and equity plans.
  • In partnership with the Finance and Corporate Communications teams, assist with preparation and filing of annual and interim financial reports and related documents, including ensuring compliance with applicable regulatory requirements.
  • In partnership with the Investor Relations and Corporate Communications teams, manage Xero’s Annual General Meeting.
  • Manage Xero’s relationship and liaise with Xero’s external share registry including overseeing share issues and updating the New Zealand Companies Office.
  • Manage all routine lodgements and notifications in relation to Xero’s ASX listing and the SGX listing of convertible notes issued by a subsidiary of Xero.
  • Assist with the management of employee share trading restrictions, requests and queries.
  • Manage the appointment of non-executive directors.
  • Keep up to date with key governance developments and provide relevant advice and insights to the business and/or Board.
  • Manage the periodic review of Xero’s key governance policies and Board and committee charters.

  • Critical competencies/experience...

  • 5+ years experience in company secretarial/governance in-house or in private practice
  • Strong understanding of corporate law, ASX Listing Rules and corporate governance practices including the operation of employee equity plans.
  • A tertiary qualification and practising certificate in law.
  • Demonstrated understanding of the ASX Listing rules and ASX Corporate Governance Principles, and a willingness to learn about the New Zealand regulatory landscape and global corporate governance trends
  • You will also bring with you a strong commercial acumen and a practical approach to company secretarial and in-house legal practice, excellent written and verbal communication skills and the ability to work collaboratively with key stakeholders in a globally dispersed business.
